These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Modern Checkup Diagnostics LLC (“Modern Checkup,” “we,” “us,” or “our”), concerning your access to and use of the shop.moderncheckup.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”), and your purchase of any products from us, including the Clinistix™ uACR test (the “Products”). By accessing the Site or purchasing our Products, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Site and you must discontinue use immediately.

Changes to These Terms

We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these Terms were last revised. Any such changes will be effective immediately upon posting. Your continued use of the Site or purchase of Products after the date any such changes become effective constitutes your acceptance of the new Terms.

Arbitration Notice and Class Action Waiver

Except for certain kinds of disputes described in the “Dispute Resolution” section below, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND MODERN CHECKUP ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to access and use the Site or to purchase Products. By using the Site or purchasing Products, you represent and warrant that you meet these requirements.

Accounts

When you create an account with us, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

Subscriptions and Automatic Renewal

Certain Products, including the Clinistix™ uACR test, are offered on a subscription basis. By enrolling in a subscription, you authorize us to automatically charge your payment method on a recurring basis. Unless otherwise stated at the time of purchase, subscriptions automatically renew every 30 days at the then-current price until canceled. You may cancel your subscription at any time by contacting our customer service team at support@moderncheckup.com at least 72 hours before the end of your current billing period to avoid being charged for the next billing cycle. Cancellations received less than 72 hours before a renewal date will take effect at the following billing cycle.

Refund Policy

If you are not satisfied with your first order, you may request a refund within 30 days of purchase, provided the Product is unopened and in its original, unused condition. Refunds apply to first orders only; subsequent orders and renewals are not eligible for refunds. Approved refunds are processed within six weeks after the returned merchandise arrives at our facility and has been inspected. Shipping costs are non-refundable. We reserve the right, in our sole discretion, to refuse any return we reasonably suspect to result from fraud or abuse of this policy.

Money-Back Guarantee

To be eligible under our money-back guarantee, Products must be unused and in their original packaging and your request must be made within 30 calendar days of purchase. A return authorization (RMA) number is required before any Product is shipped back to us; returns sent without a valid RMA number may not be accepted. You are responsible for return shipping costs.

Order Acceptance and Pricing

We reserve the right to refuse or cancel any order for any reason, including limitations on quantities available for purchase, inaccuracies, or errors in Product or pricing information, or problems identified by our credit and fraud avoidance department. We reserve the right to limit quantities purchased per person, per household, or per order. All prices are subject to change without notice.

Shipping

We will make every effort to ship Products promptly after your order is accepted. Title and risk of loss for Products pass to you upon our delivery to the carrier. Delivery dates are estimates only and we are not liable for delays in delivery that are outside of our reasonable control.

Taxes

You are responsible for any applicable sales, use, or similar taxes associated with your purchase. Where required by law, we will collect such taxes at checkout.

Payment

You agree to provide current, complete, and accurate purchase and account information for all purchases made through the Site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Payment is processed through our third-party payment processors, and your use of those services is subject to their terms and privacy policies.

User Content

By submitting reviews, comments, testimonials, photographs, or other content to us or through the Site (“User Content”), you grant Modern Checkup a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media. You represent and warrant that you own or otherwise control all of the rights to the User Content you submit and that the User Content does not violate these Terms or the rights of any third party.

Prohibited Conduct

You agree not to copy, modify, distribute, sell, lease, or commercially exploit any part of the Site or its content without our prior written permission. You further agree not to use the Site in any way that violates any applicable law or regulation, infringes the rights of others, or interferes with the operation or security of the Site.

Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, the Clinistix™ and Modern Checkup names and logos, and the design, selection, and arrangement thereof) are owned by Modern Checkup, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, and other intellectual property laws. Clinistix™ is a trademark used under license. You may not reproduce, distribute, modify, or create derivative works of any material on the Site except as expressly permitted by these Terms.

Health and Medical Disclaimer

THE INFORMATION ON THE SITE AND PROVIDED WITH OUR PRODUCTS IS NOT INTENDED AS MEDICAL OR HEALTHCARE ADVICE and is provided for general informational purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. These statements have not been evaluated by the Food and Drug Administration. The Clinistix™ uACR test is intended for early detection and ongoing monitoring and is not intended to diagnose, treat, cure, or prevent any disease.

Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by Modern Checkup. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we are not responsible or liable for any damage or loss caused by or in connection with the use of any such content, goods, or services available through any such websites or services.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED, THE SITE AND PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MODERN CHECKUP, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR PURCHASE OR USE OF ANY PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCTS WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Modern Checkup and its affiliates and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Site, your purchase or use of Products, your User Content, or your violation of these Terms.

Electronic Communications

By using the Site or purchasing Products, you consent to receiving electronic communications from us. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Termination

We may terminate or suspend your access to all or part of the Site at any time, with or without cause, with or without notice, effective immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Dispute Resolution; Governing Law and Venue

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree that any dispute between you and Modern Checkup will be resolved by binding, individual arbitration, and you waive your right to participate in a class action or class-wide arbitration. For any dispute not subject to arbitration, you and Modern Checkup agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.
